By-Law of the ERUDIO ASSOCIATION

CAP. I. FOUNDING ASSOCIATE MEMBERS
Art. 1. The present association is formed with the following as founding associate members:

Art. 2. The individuals identified under art. 1 in the present By-law agree to associate by pooling the material contribution and knowledge hereof for achieving the purpose of the association.
CAP. II. NAME, REGISTERED OFFICE AND DURATION
Art. 3. The association has the full name of "ERUDIO" according to the certificate for name availability no. 36546 from September 29, 2005 issued by the Ministry of Justice (hereinafter named "ERUDIO ASSOCIATION").
Art. 4. The ERUDIO ASSOCIATION is formed as a Romanian private legal, non-governmental, with no profit or patrimonial purpose, non-profit and independent entity, based on the Government Ordinance no. 26/2000 regarding the associations and the foundations (hereinafter named "G.O. no. 26/2000").
Art. 5. The registered office of the ERUDIO ASSOCIATION is in Bucharest, [...]
Any change of the head office is to be established by decision of the Board of Directors and will be communicated to the courts the ERUDIO ASSOCIATION former and current registered offices are affiliated to.
Art. 6. The ERUDIO ASSOCIATION is formed for an undetermined period of time, and will operate as of the date of its registration at the Register for associations and foundations.
CAP. III. PURPOSE AND OBJECTIVES OF THE ERUDIO ASSOCIATION
Art. 7. The ERUDIO ASSOCIATION is formed with the purpose of promoting and achieving the following purposes:
- promotion of good practice in the education area;
- modernizing attitudes and mentalities regarding education;
- improvement of educational techniques;
Art. 8. In order to fulfill its purpose, the ERUDIO ASSOCIATION intends to achieve the following objectives:
- publishing cultural publications (magazines, books, brochures) on paper and in electronic format;
- organizing cultural, scientific and artistic events;
- organizing classes, conferences, symposiums, seminars, round tables;
- organizing, facilitating, promoting and developing cultural and scientific exchanges with foreign organizations;
- promoting the interests of the ERUDIO ASSOCIATION and of its associates among government and state administration bodies, among Romanian and foreign public institutions, interests connected with the activities intended to achieve the purpose of the ERUDIO ASSOCIATION;
- exchange of ideas and information on subjects reflecting present and future Romanian educational, cultural, public interest and business realities;
- facilitating the access to international assistance programs in the area of Romanian education development, of protecting and enhancing Romanian educational values;
- cooperation with other Romanian or foreign associations, foundation or non-governmental organizations for the development of common activities in accordance with the purposes of the ERUDIO ASSOCIATION, including by the ERUDIO ASSOCIATION affiliation to other national and international bodies;
- searching, finding and attracting financial, material, human and logistical resources in order to support the objectives of the ERUDIO ASSOCIATION;
- carrying out any kind of commercial activities, whether through trade companies set up under the conditions of art. 47 of G.O. no. 26/2000 or directly based on art. 48 of the same enactment, which would produce revenues exclusively destined to achieving the statutory purposes of the ERUDIO ASSOCIATION.
Art. 9. The ERUDIO ASSOCIATION may set up branches, as territorial structures, with at least 3 members, with their own management body and a patrimony distinct from the ERUDIO ASSOCIATION patrimony.
The branches are legal entities, able to conclude legal acts, on their own behalf, under the conditions established by the ERUDIO ASSOCIATION through the Constitutive Act of the Branch. It may conclude disposal legal acts, for and on behalf of the ERUDIO ASSOCIATION, based only on the previous decision of the ERUDIO ASSOCIATION Board of Directors.
The branch is set up by decision of the General Meeting. The legal personality is acquired as of the date of the branch registration with the Register of associations and foundations.

CAP. VII. PATRIMONY
Art. 41. The initial patrimony of the ERUDIO ASSOCIATION is constituted in cash from the contribution of the founding associate members and has a value of RON 1000.
Art. 42. The revenues of the ERUDIO ASSOCIATION come from:
- the subscriptions of the associate members;
- the interests and the dividends resulted from the placement of the available amounts, in legal conditions;
- the dividends of the trade companies set up by the ERUDIO ASSOCIATION;
- revenues from direct ancillary economic activities;
- donations, sponsorships, or legacies that will be kept in a special register;
- resources from the state or local budget;
- other revenues provided by the law.
Art. 43. The ERUDIO ASSOCIATION may set up trade companies. The dividends received by the ERUDIO ASSOCIATION from the activities of these trade companies, unless reinvested in the same trade companies, are mandatory used for the achievement of the purpose of the ERUDIO ASSOCIATION.
Art. 44. The ERUDIO ASSOCIATION may carry out any other direct economic activities, if they are ancillary and strongly connected with the main purpose of the ERUDIO ASSOCIATION.
Art. 45. All arrangements, agreements, money and values transfers, as well as other financial operations regarding the patrimony of the ERUDIO ASSOCIATION are executed under the President's signature in accordance with the By-law or with the legal provisions.
Art. 46. ERUDIO ASSOCIATION may refuse any donation or legacy offered under terms contrary to the objectives of the ERUDIO ASSOCIATION or to the provisions of the present By-law.
Art. 47. ASOCIAŢIA ERUDIO may open accounts at any Romanian bank, with the observance of the legislation in force. The financial operations of the ERUDIO ASSOCIATION may be executed only with the signature of the President or of the person(s) specifically appointed by written power of attorney bearing the stamp of the ERUDIO ASSOCIATION.

CAP. IX. FINAL DISPOSITIONS
Art. 61. The present By-law is valid for the entire period of existence of the ERUDIO ASSOCIATION, its amendment or supplement being made only in written form with the observance of the legal provisions and of the provisions regarding the necessary quorum and majority in accordance with the By-law provisions.
In any of these cases, the amendment of the Articles of Association and of the By-law will be done based on the minute of the General Meeting, in certified form.
Art. 62. The associate members acknowledge by joining the provisions of the present By-law, entirely agree herewith, and thus commit themselves to respecting it..
Art. 63. The provisions of the present By-law are supplemented by the legal dispositions in force.
